Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of Itero's website and services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.
Description of Services
Itero provides AI-powered training simulations, call scoring, and quality assurance services for organizations. Our services include:
- AI role-play training simulations
- Automated call scoring and analysis
- Quality assurance monitoring
- Coaching and performance management tools
- Analytics and reporting dashboards
Account Registration
To access certain features of our services, you may be required to create an account. You agree to:
- Provide accurate and complete information
- Maintain the security of your account credentials
- Promptly update any changes to your information
- Accept responsibility for all activities under your account
Acceptable Use
You agree not to:
- Use our services for any unlawful purpose
- Violate any applicable laws, regulations, or third-party rights
- Interfere with or disrupt the integrity of our services
- Attempt to gain unauthorized access to our systems
- Upload malicious code or content
- Use our services to transmit spam or unsolicited communications
Intellectual Property
Our services, including all content, features, and functionality, are owned by Itero and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.
User Content
You retain ownership of any content you submit through our services. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and store such content as necessary to provide our services.
Data Processing
For enterprise customers, data processing is governed by a separate Data Processing Agreement (DPA). The DPA takes precedence over these Terms with respect to the processing of personal data.
Confidentiality
We will maintain the confidentiality of your data and will not disclose it to third parties except as necessary to provide our services or as required by law.
Service Availability
We strive to maintain high availability of our services but do not guarantee uninterrupted access. We may temporarily suspend services for maintenance, updates, or other operational reasons.
Fees and Payment
Fees for our services are set forth in your subscription agreement. You agree to pay all fees when due. We may modify our fees with reasonable notice.
Termination
Either party may terminate the agreement in accordance with the terms of your subscription agreement. Upon termination, your right to access our services will cease immediately.
Disclaimer of Warranties
OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ITERO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.
Indemnification
You agree to indemnify and hold harmless Itero and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services or violation of these Terms.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
